    The financial crisis, and associated scandals, created a sense of a juridical deficit with regard to the financial sector. Forms of independent judgement within the sector appeared compromised, while judgement over the sector seemed unattainable. Elites, in the classical Millsian sense of those taking tacitly coordinated ‘big decisions’ over the rest of the public, seemed absent.     In representing a fragmented pluralist polity, the U.S. Congress inevitably exhibits high levels of conflict and disagreement. Increasingly, the American public finds such conflict—the ordinary procedures of legislative democracy—distasteful. As members of Congress pay closer attention to approval ratings and other poll measures, their natural inclination may be to avoid legislating, especially on controversial issues. This response to the preference of the demos has profoundly antidemocratic implications.

    This paper explores the historical American political values which have shaped modern financial theory and agency theory. Financial agency theory's intellectual roots are shown to be located in the liberal tradition which espouses the instrumental nature of property and property rights. The paper also argues that financial theorists should recognize that, historically, economic efficiency was not a value or end in itself but merely a means by which more fundamental social goals might be achieved.
